ShipElectron Software License Agreement

This Software License Agreement (the "Agreement") is made between you ("Licensee" or "You") and the licensor ("Licensor" or "We") who is the provider of the ShipElectron product and associated tools (the "Product"). By downloading, installing, or using the Product, you agree to be bound by the terms of this Agreement. Furthermore, you agree that this agreement shall supersede any previous agreements.
- Grant of License
Upon purchasing the Product you are granted a non-exclusive, non-transferable, revocable license to use the Product for your internal development purposes which includes creating, testing, and deploying applications, websites, or other digital products for commercial or non-commercial use, subject to the terms of this Agreement. The Product includes all associated code, documentation, and any updates provided by the Licensor.
You are permitted to use, modify, and distribute the compiled and minified code generated by the Product (the "Output") as part of your own projects. This includes integrating the Output into commercial and non-commercial projects, websites, applications, or other digital products you build.
The Product comes with a number of components and utilities created using HTML, CSS, TypeScript and JavaScript (The "Bundled Components") that have been created within the framework of the Product. The Bundled Components may be used and distributed only as a functional part of a larger product (e.g. an application, website, or software system) that you are developing and not as publically available libraries, or independent resources for third parties to use or modify on their own. This applies regardless of if the Bundled Components are part of the Output or not.
You may not upload the Product or any part of it (including the Bundled Components) to public software repositories (including but not limited to public GitHub repositories or public npm repositories) for the purpose of publicly available redistribution. However, you may upload your project's source code, including the Output and Bundled Components, to private repositories for version control or internal collaboration purposes, provided the repositories are not publicly accessible.
- Restrictions
The following restrictions apply:
- You may not sell, lease, sublicense, distribute, or otherwise transfer the Product as a whole.
- You may not modify the Product in a way that enables redistribution or reselling.
- You may not reverse engineer, decompile, or disassemble the Product, except to the extent expressly permitted by applicable law.
- You may not use the Product to create a product or tool that competes with the Product, whether by redistributing the Product, part of the Product, or creating a similar product.
- You may not use the Product in a way that could harm or damage the Licensor's business, reputation or intellectual property.
- You may not publish the Product or the Bundled Components in any form as part of an open-source project unless explicitly authorized by the Licensor.
- Third-Party Libraries:
The Product incorporates third-party libraries and tools (the "Libraries") that are required for the Product to function. These Libraries are not owned by the Licensor, and the Licensor makes no representations or warranties regarding their functionality, performance, or security. The Libraries are subject to the terms of their own licenses, which you are responsible for reviewing and complying with upon installation. While The Licensor configures and integrates the Libraries in a specific way as part of the Product, the Libraries themselves remain the property of their respective authors and are governed by the terms of their individual licenses.
- Ownership
You retain ownership of any Output you generate using the Product apart from the Bundled Components. You acknowledge that the Licensor retains all intellectual property rights to the Product, including all Bundled Components, and that no rights are granted to the Product itself beyond those specified in this Agreement. You also acknowledge that the Licensor does not own the third-party Libraries integrated into the Product and that the Libraries are subject to their own respective licenses.
- Limitation of Liability
The Product is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and noninfringement. In no event shall the Licensor be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the Product or the use or other dealings in the Product.
- Termination
This license will terminate immediately if you breach any of its terms. Upon termination, you must cease all use of the Product and delete all copies from your systems.
- Dispute Resolution and Governing Law
This Agreement shall be governed by Swedish law. Any disputes arising out of or related to this Agreement shall be resolved by the courts of Sweden unless both parties mutually agree to resolve the dispute through binding arbitration or mediation. If any part of this Agreement is found to be invalid or unenforceable, the remainder will continue in full force and effect.
